Companies Act 2006 - Update

Paper Annual Return to Cease from 1 October 2008

From October 2008 Companies House will withdraw this facility and supply only reminder letters or a blank annual return that can be downloaded from their website.

Why The 1 October 2008 Deadline

Over 80% of all annual returns are now submitted electronically and because it costs less they are able to offer the service at £15.00 filing fee as opposed to the £30 for paper. As implementation of the Companies Act 2006 requires amendments to the annual return in both October 2008 and 2009, Companies House believes now is an appropriate time to cease the paper shuttle return.

Nominee Directors 1 October 2008

From the 1 October 2008 all companies must ensure that at least one director is a natural person, i.e. an individual and not a corporate body. Currently there are over 250,000 companies which have solely nominee directors in place.

Use of Service Addresses 1 October 2009

From the 1 October 2009 all the addresses held for Directors will default to service addresses. Directors would have an opportunity to file an alternative service address and to keep their residential address private and undisclosed on the public record. Shareholders will not have to supply an address form 1 October 2008.This does not aid in the identification process for Money Laundering Compliance. However, the private addresses will be made available to credit reference agencies.
